Missouri Registered Agent Requirements

Every Missouri LLC needs a registered agent, and in this state the requirement carries more weight than usual. Missouri LLCs file no annual report, which makes the registered agent the one Secretary of State obligation your company holds continuously from its first day to its last. The governing statute is RSMo 347.030, and its rules are more particular than most owners expect.

What the Statute Demands

Section 347.030 requires an LLC to "have and continuously maintain in this state" both a registered office and a registered agent stationed at it. The statute also clarifies a point of frequent confusion: the registered office "may be, but need not be, the same as a place of its business in this state." Your shop can be in Springfield while your registered office sits in Jefferson City; what matters is that the office exists, stays current, and has your agent at it.

The continuity language is not decoration. A gap in agent coverage is grounds for administrative dissolution, and because Missouri has no annual report cycle, there is no built-in yearly moment where a lapse would get caught. See our annual requirements page for that side of the story.

Who Is Allowed to Hold the Job

Missouri defines two categories of eligible agent:

• An individual who resides in Missouri and whose business office is identical with the registered office.
• A corporation, either formed in Missouri or a foreign corporation authorized to do business here, again with its business office identical with the registered office.

That identical-office rule is the through-line: whoever the agent is, the address on your filing must be where that agent actually does business.

One appointment Missouri flatly rejects is your LLC naming itself. The eligibility categories leave no room for it, and the instructions on the state's change-of-agent paperwork spell the prohibition out. A Missouri-resident member or manager can serve as an individual agent; the company as an entity cannot.

The Address Rules

The registered office must be a Missouri location, and a PO box is acceptable only in conjunction with a physical street address, never on its own. Whoever serves needs to be present during normal business hours, because that availability is the entire point: courts, the state, and tax authorities all treat the registered office as the address where your LLC can reliably be reached.

Replacing Your Agent

Agent or office changes are filed on the Statement of Change of Registered Agent and/or Registered Office, Form Corp. 59, with a flat $10 fee. Missouri adds a consent safeguard: the incoming agent must sign the statement or attach written consent, so nobody gets drafted into the role unknowingly.
